We have closed a contract with the Iraq Trading Ministry to buy sugar for them and there are subject  in Regard to ( L/C and SGS Quality ).  
The LAW of Iraq Trading Ministry for Importing Goods have two subject and all Banks in Iraq have to obey that and Seller must accept as the following:  
   
1-The Seller have to pay , CHARGES OF (ACTIVATION –CONFIRMATION) %8PCT PLUSE %3.2PCT  =%11.2 of L/C VALUE to  one of The VALID BANKS, and this Amount must Issue by  Trust or Voucher Qualified Valid Bank Warranty to the Alienee Bank(Buyer Bank). This Amount (%11.2) will Withdraw Upon the ISSUNCE  of L/C in the Name of Seller.  
SO WHENE BUYER BANK ISSUE L/C IN THE NAME OF SELLER,AT THIS TIME  BUYER BANK WITHDRAW %11.2 OF L/C VALUE FOR CHARGES (ACTIVATION-CONFIRMATION)Letter of Credit .  
   
2-By receiving of each Shipment at the Destination Port and Certificate Announcement and  Issuance Of the Inspector  Company (SGS) or any Authorization Organization Inspection Company in IRAQ Certificate based on the Conformity of Good’s Quality (%100), Total price of Shipment will be Paid by CONFIRMING BANK.  
L/C will Confirm after to  Check for (SGS) in Destination and  L/C have condition, with regard to check (SGS)quality in Destination Port.  
We know sugar will check at the port of loading for (SGS) Quality, but again is need to check at Destination port, this is not our choice, this is Iraq Trading Ministry order.  
   
We had offer price for sugar, it’s been for Yearly Contract about $265 for 600.0000M/T, but we are buying sugar $340 ,because for the above mentioned.  
 I hope it would be  clear to you and can close this business together.  
PROCEDURES:  
If it is OK,you have to sent  pages of Seller’s  (PRO-FORMA INVOICE and  FCO) as:  
Buyer issue Letter  of  Intend  (LOI)  and   Seller issues Full  Corp orate  Offe r  (FCO)  in favor of the Buyer;  
Buyer Bank need(PRO-FORMA INVOICE and  FCO)   for the Issuance L/C and the bank informations ,that seller bank need.  
In the FCO, Seller must insert the full detail of buyer request and acceptance of seller in regard to:  
(1-seller bank Guarantee to pay charges for %11,2 of L/C value to buyer bank  
2-seller have agree to check SGS quality in destination port,and it is mention in L/C, And L/C is conditional).  
If seller want to do the deal  for less energy in time, he have to sent( FCO and PRO-FORMA INVOICE)  to process .
