BUSINESS
PROCEDURES:
Ø Buyer issue LOI + BCL to Seller
Ø Seller issue a FCO for approval and sign
Ø After FCO return with bank information signed,
stamped and sealed Seller Issues a full shipment contract.
Ø Seller and buyer to agree on the conditions of
the contracts.
Ø Seller to submit the wording of
the Letter of Credit for the buyer to sign and seal it within 3 days.
Ø Seller to submit the signed contract and Letter
of Credit agreement for banking to take place.
Ø
To exchange contracts via FAX for final SIGNATURES.
Ø Seller to POST four original copies signed and
sealed to THE BUYER for signing and sealing and to be RETURNED by the
buyer within 20 working days.
Ø Shipment shall
commence 30 - 45 days after receipt of PB.
Ø
Immediately after completion of the loading of the Sugar on board the
Vessel, the Seller shall advise the Buyer, via Fax, the following:
v Name of The Vessel.
v
Number of MTS loaded.
v Total weight of The
Shipment
v Invoice Value in US dollars.
Any deviation related to Quantity and loading
date shall be mutually agreed in writing 10 (ten) days before loading
date.
PRICE:
USD $ 154.00
(One hundred and Fifty four US Dollars) PER METRIC TON CIF ASWP BASED ON
1,000,000MT (in 10 monthly shipments of 100,000 mt)
AS ADVISED BY THE BUYER AND APPROVED BY THE
SELLER. INSURANCE TO BE DULY COVERED BY THE SELLER
Please Note: -
In case
buyer requests smaller shipments, the seller is able to deliver,
provided that the buyer gives 15 working days previous notice, to allow
chartering new vessels. Price range should apply.
DELIVERY:
For 12.500
Metric Ton: - The Price should be 162 USD per Metric Ton.
For 25,000 Metric Ton: - The Price should be 154
USD Per Metric Ton.
QUANTITY:
1,000,000 MT ( Metric Ton) (+/-5%)
PACKING:
50kg (white
polypropylene) 2% of empty bags will be added to the cargo. Bags to be
properly marked in English Language for Size Of Packing / Name Of
Commodity / Name & Logo Of Importer / Validity Of Commodity. Bags to be
palletised and suitable for ocean transport
SPECIFICATIONS, INSPECTIONS, WEIGHT AND QUALITY:

Ø Inspection costs shall be borne by the Seller.
Ø The Seller hereby warrants that delivery of the
Product shall be made to the Buyer with authentic certificates of
quantity (weight) and quality, with all inspections made at the loading
port at Seller’s expense, and such certification shall be considered
final by both parties.
PAYMENT:
Total Amount of Contract: USD 154,000,000(One
hundred and fifty four million US Dollars only based on CIF delivery)
for vessels of
25.000mt or USD 162,000.00(One
hundred and sixty two million USD dollars only based on CIF delivery)
for vessels of 12,500 MT and the payment will be by Confirmed,
Irrevocable, Fully Funded Single Letter of Credit for the Full Contract
Amount value to cover 1 million Metric Tons.
PRICE REVIEW WILL APPLY IF QUANTITY REQUESTED NOT
TAKING WITHIN A YEAR, EUROPEAN INDEX LINK MIGHT APPLY
SHIPPING DOCUMENTS:
Ø Full
set of Clean on board ocean Bill of Lading (B/L), three (3) originals
and three (3) (non-negotiable copies), made out to order and blank
endorsed, notifying the Buyer or Buyer's Agent. Insurance document,
Packing lists.
Ø A set of signed Commercial
invoices original and three (3) copies.
Ø
Certificate of Quality, Quantity and Weights Inspection in duplicate
issued by any independent internationally recognized surveyor (SOCOTEC,
SGS/LLOYD'S OF LONDON/VERITAS OR SIMILAR).
Ø
Certificate of Origin in duplicate (Form A) issued by the Relevant
Authority.
Ø Phytosanitary Certificates issued by
the Government Authority, in duplicate.
Ø The
Buyer will give, prior to loading, concrete instructions regarding the
issuance of the stated documents, their destination and their use.
