Terms and Conditions

1. Seller provides a SO to Buyer.
2. Buyer accepts SO from Seller.
3. Buyer provides a current legitimate LOI & *BCL with full banking info. + NCNDA
4. Seller confirms LOI & *BCL and issues a FCO.
5. The Bank of the seller is willing, once received the BCL, to send a confirmatory letter the presence of the POP in the Bank
6. The seller issues FCO. The buyer signs and seal the FCO for the acceptance on price and term & condition and return back to the seller.
7. The seller issues the Draft Contract showing all amendments required initialed and adds their full banking coordinates, confirming banking information and contact information.
8. The seller amends where necessary the hard copy contract, signs, seals and issues to the buyer for his completion. The buyer signs the hard copy contract and returns it to the seller together with the Pre Advise ARDLC +BG for the amount of one month of deliveries. Any facsimile or electronic copy shall be considered as the original.
9. Within five (5) banking days after delivery by courier to the seller of the final hard copy contract has been signed, sealed contract, the buyer opens a financial instrument in their own bank and then provides to the seller an Operative BG to the seller for verification, authenticate and confirmation. BG release at sight of loading port.(No, operative BG No business)
10. Within five (5) banking days after seller receipt of BG, the sellers bank issues a Two (2%) percent operative performance bond of BG value.
11. Within Ten (10) banking days after the issuance of the performance bond by seller of Two (2%) percent the seller will generate a proof of product.

12. Seller provide to buyer an agreeable date as of when the buyer shall receive the goods.
13. Delivery and shipment commence as per the terms and conditions of the contract.
14. Buyer's bank releases the funds of ARDLC to seller on submission of required documents to confirm the successful shipment to the buyer's bank by the seller.

[04/11/2009 09:42:47 a.m. | Editado 09:43:01 a.m.] Vignetta Rodrigo: Payment Terms: In order to both secure the shipments and to secure the price of dollars //$ xxxx//(xxxx hundred xxxx states American dollar) per MT throughout the life of the contract, Buyer will issue a bank to bank by swift MT760 LC, unconditional, transferable, irrevocable, confirmed, BG, (bank guaranty) for the amount of one month of deliveries by a top 50 (fifty) prime World Bank www.bankersalmanac.com/addcon/infobank/bank-rankings.aspx and active for 13 Months.
Each delivery product payment will be by revolving documentary letter of credit (RDLC) for the value of one shipment and revolving until the end of the entire contract to cover the total quantity agreed.
BG and RDLC will be transferred to the Seller's account by TT (telegraphic Transfer) cash.
The payment for each shipment will be made by TT (telegraphic transfer) cash transfer against the actual shipping documents for each shipment and will be released from Buyer's bank on the basis of loaded vessel at the port of origin/loading.
Payment for each shipment will be transferred to the Seller nominated bank account, within after seller send the shipping documents to the buyer bank.
The financial instrument will be held by the Seller for the life of the contract and will only be cashed in event of any non-payment by the buyer.
